Welcome to RISE Shade Lab. These Terms and Conditions (“Terms”) govern your access to and use of our website (riseshadelab.com), wholesale/dealer portals, and any purchases of custom window coverings, hardware, and related products made through our Site.

By accessing our Site, creating a dealer account, or placing an order, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use this Site.

1. Wholesale & Trade Eligibility

  • Business Account Requirement: Access to our wholesale pricing, custom ordering platform, and trade discounts is restricted to verified trade professionals, dealers, interior designers, architects, and commercial contractors.
  • Account Registration: You agree to provide accurate, current, and complete business information (including Resale Certificates and Business Tax IDs) during registration. You are responsible for maintaining the confidentiality of your account login credentials and for all activities conducted under your account.
  • Account Approval: RISE Shade Lab reserves the right to accept, reject, or revoke any dealer account at its sole discretion without prior notice.

2. Custom Orders, Specifications & Measurement

  • Made-to-Order Nature: All window shades, blinds, drapes, and hardware supplied by RISE Shade Lab are custom-manufactured based on the specifications provided by you.
  • Customer Responsibility: You are solely responsible for ensuring that all measurements, fabric selections, operating mechanisms, color choices, and specifications submitted with your order are accurate.
  • Order Modifications & Cancellations: Once a custom order has entered production, no cancellations, changes, or modifications will be permitted. Any modification requests must be submitted immediately and are subject to written confirmation and potential additional charges.

3. Pricing, Payments & Invoicing

  • Prices: All wholesale prices are quoted in U.S. Dollars ($) and are subject to change without prior notice. Quoted prices exclude shipping fees, handling, freight charges, and applicable state or local sales taxes unless explicitly stated otherwise.
  • Payment Terms: Payment must be made in full at the time of order placement via our approved payment gateways (e.g., credit card, ACH, or pre-approved trade credit terms).
  • Tax Exemption: Registered trade partners seeking sales tax exemption must submit a valid Resale Certificate prior to placing orders. Tax adjustments will not be made retroactively for orders placed before certificate verification.

4. Shipping, Delivery & Risk of Loss

    • Shipping Terms: All shipments are shipped FOB (Free on Board) Origin or via designated freight/logistics partners. Shipping estimates provided at checkout are estimates only and are not guaranteed.
    • Freight & Shipping Damages:
      • Inspect all shipments immediately upon receipt before signing delivery receipts.
      • Any visible damage to shipping containers, packaging, or product must be noted on the bill of lading / delivery receipt with the carrier.
      • Claims for damaged, defective, or missing items must be reported to RISE Shade Lab within 5 business days of delivery, accompanied by detailed photographs and original packaging.

5. Return, Refund & Warranty Policy

  • Final Sale on Custom Products: Because all products are custom-made to exact dimensions, all sales are final. We do not accept returns or exchanges for buyer’s remorse, incorrect customer measurements, or site specification errors.
  • Manufacturing Defects: If a product exhibits a manufacturing defect or fails to match the accepted order specifications, RISE Shade Lab will, at its sole discretion, repair, replace, or issue credit for the defective item in accordance with our standard Product Warranty policy.
  • Warranty Limits: Our warranty covers structural and mechanical manufacturing defects under normal commercial or residential use. It does not cover normal wear and tear, improper installation, abuse, exposure to extreme environmental conditions, or unauthorized alterations.

6. Intellectual Property

All content on this Site—including product designs, logos, images, graphics, text, custom software formulas, downloadable specification sheets, and digital marketing materials—is the exclusive property of RISE Shade Lab and is protected by United States and international copyright, trademark, and intellectual property laws.

Authorized dealers are granted a limited, non-exclusive, non-transferable license to use product images and specs solely for the purpose of promoting and selling RISE Shade Lab products to end customers.

7. Limitation of Liability

To the fullest extent permitted by law, RISE Shade Lab shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including lost profits, installation labor costs, project delays, or loss of business reputation—arising out of or in connection with the use of our Site, products, or services, even if advised of the possibility of such damages.

Our maximum cumulative liability for any claim arising under these Terms or related to a product purchase shall not exceed the total dollar amount paid by you for the specific product giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless RISE Shade Lab, its officers, directors, employees, agents, and affiliates from any claims, liabilities, losses, costs, or expenses (including reasonable attorney fees) arising from your breach of these Terms, improper installation of products, or misrepresentation to end customers.

9. Governing Law & Jurisdiction

These Terms and any disputes arising from your use of this Site or purchase of products shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

10. Modifications to Terms

RISE Shade Lab reserves the right to modify these Terms at any time. Changes will take effect immediately upon posting to the Site. Your continued use of the Site or wholesale platform after changes are posted constitutes acceptance of the revised Terms.
